1. Acceptance of Terms
By accessing or using Simple Patient Records ("SPR," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms apply to all users of the Service, including healthcare providers, staff members, and patients accessing the patient portal.
2. Description of Service
Simple Patient Records is a cloud-based patient management and electronic health records platform designed for small healthcare practices. The Service includes patient management, clinical documentation, appointment scheduling, document management, e-signatures, and related features based on your subscription tier.
3. Account Registration
To use the Service, you must:
- Be at least 18 years of age
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access
- Accept responsibility for all activities under your account
4. Subscription and Payment
Subscription Plans
We offer multiple subscription tiers (Starter, Professional, Premium) with different features and pricing. Current pricing is available on our website.
Free Trial
New accounts receive a 14-day free trial with full access to selected plan features. No credit card is required to start the trial.
Billing
Subscriptions are billed monthly in advance. Payments are processed through Stripe. You authorize us to charge your payment method on a recurring basis.
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.
5. Acceptable Use
You agree NOT to:
- Use the Service for any unlawful purpose
- Violate any applicable healthcare regulations (HIPAA, state laws)
- Share account credentials with unauthorized users
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Upload malicious code or content
- Use automated systems to access the Service without permission
- Resell or redistribute the Service without authorization
6. Healthcare Compliance
Your Responsibilities
As a healthcare provider, you are responsible for:
- Compliance with HIPAA and applicable healthcare regulations
- Proper use and disclosure of Protected Health Information (PHI)
- Training staff on privacy and security practices
- Obtaining appropriate patient consents
- Maintaining accurate medical records
Business Associate Agreement
Healthcare providers may request a Business Associate Agreement (BAA) to comply with HIPAA requirements. Contact us at legal@simplepatientrecords.com to request a BAA.
7. Data Ownership
Your Data: You retain all rights to data you input into the Service. Patient records, clinical notes, and other content you create belong to you.
Our Service: We retain all rights to the Service itself, including software, design, and proprietary technology.
Data Export: You may export your data at any time through the Service's export functionality.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice when possible)
- Emergency repairs or security updates
- Factors beyond our control (internet outages, natural disasters)
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PAST 12 MONTHS
- WE ARE NOT RESPONSIBLE FOR CLINICAL DECISIONS OR PATIENT OUTCOMES
The Service is a tool to assist healthcare providers. It does not replace professional medical judgment. You are solely responsible for medical decisions and patient care.
10. Indemnification
You agree to indemnify and hold harmless Simple Patient Records, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
11. Termination
We may terminate or suspend your account immediately, without notice, if you:
- Violate these Terms
- Fail to pay subscription fees
- Engage in fraudulent or illegal activity
- Pose a security risk to the Service or other users
Upon termination, your right to use the Service ceases immediately. You may request a data export within 30 days of termination.
12. Modifications to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms. If you disagree with changes, you may cancel your subscription.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
